DHN Drinks/Sedibeng Brewery merger gets the nod

A deal that will result in DHN Drinks acquiring Sedibeng Brewery has been given the nod by the Competition Tribunal.

Sedibeng Brewery is currently owned by Heineken International and a Netherlands based company named Diageo Highlands‚ which is listed on the London Stock Exchange and the New York Stock Exchange.

Diageo‚ Heineken International and Namibia Breweries Limited currently all own shares in DHN and the current transaction will result in their joint control of Sedibeng Brewery through their DHN shareholding.

The proposed transaction is a restructuring of existing arrangements between Diageo‚ Heineken and Namibia Breweries Limited in South Africa. The deal therefore does not change the competitive dynamics in any of the markets the parties are involved in. The parties already jointly market‚ sell and distribute their brands of beer‚ cider and ready-to-drink beverages through a cost-sharing joint venture‚ Brandhouse‚ which was formed in 2004.

The Competition Commission assessed the merger and concluded that it was unlikely to raise significant competition concerns and recommended that the Tribunal approve the deal without conditions.
